Welcome to Viral Force Media Agency ("Viral Force," "we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

1. Acceptance of Terms

By accessing or using the services provided by Viral Force, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. We reserve the right to update these Terms at any time, and your continued use of our services will constitute acceptance of the updated Terms.

 

2. Services Provided

Viral Force offers a range of media services, including but not limited to video production, photography, content creation, social media management, and digital marketing. Specific services will be outlined in a separate service agreement or contract provided to you at the time of engagement.

3. Client Responsibilities

Content and Materials: You are responsible for providing all necessary content, materials, and information required for the completion of our services. This includes, but is not limited to, logos, brand guidelines, scripts, and any other materials needed to fulfill the service.

Approvals: Timely approvals are required for the completion of services. Delays in approvals may result in project delays and additional costs.

4. Fees and Payment

Fees: All fees for services provided by Viral Force will be outlined in the service agreement or contract. Payment terms, including deposit requirements, payment schedule, and final payment, will also be specified.

 

Late Payments: Failure to make payments on time may result in suspension of services until payment is received. We reserve the right to charge interest on overdue payments at a rate of 4% per month.

Intellectual Property

Ownership: Upon full payment of all fees, Viral Force will transfer ownership of the final deliverables to the client. However, we retain the right to use the final deliverables for our portfolio and marketing purpose.

Third-Party Materials: Any third-party materials used in the creation of content (e.g., stock images, music) will be subject to the licensing terms of the third-party provider. You are responsible for complying with these terms.

6. Confidentiality

Viral Force will maintain the confidentiality of any non-public information provided by you during the course of our services. We will not disclose such information to any third parties without your prior consent, except as required by law.

7. Limitation of Liability

To the fullest extent permitted by law, Viral Force will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the services provided. Our total liability for any claims arising out of or related to these Terms or our services will not exceed the amount paid by you to Viral Force for the specific service giving rise to the claim.

8. Termination

Either party may terminate the service agreement or contract at any time with written notice. Upon termination, you will be responsible for payment of all services rendered up to the termination date. Viral Force reserves the right to retain any deposits or fees paid in advance.

9. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.

10. Dispute Resolution

Any disputes arising out of or related to these Terms or our services will be resolved through binding arbitration in Miami Florida, in accordance with the rules of the American Arbitration Association. Each party will be responsible for its own costs and attorney’s fees.

 

11. Entire Agreement

These Terms, together with any service agreement or contract, constitute the entire agreement between you and Viral Force regarding the services provided. Any modifications to these Terms must be in writing and signed by both parties.
